Job Purpose
- The Executive will lead the Secretarial & Compliance function across multiple business units, ensuring adherence to legal and regulatory requirements. He/ She will ensure transparent communication between the board and stakeholders, while maintaining corporate governance practices essential for listed company requirements, thus safeguarding the organization and investors alike.
Responsibilities
Secretarial Functions:
- Organize and manage board meetings, committee meetings, and general meetings, ensuring compliance with all statutory requirements.
- Prepare meeting agendas, notices, and minutes, and ensure timely communication to the stakeholders.
Compliance:
- Oversee compliance with all applicable laws, regulations, and guidelines, including Companies Act, FEMA regulations, SEBI regulations, and other relevant legislation.
- Implement and maintain effective compliance frameworks and processes to mitigate risks and ensure adherence to regulatory requirements.
- Prepare and file timely and accurate regulatory filings and disclosures, including periodic returns and reports required by regulatory authorities and stock exchanges.
Corporate Governance:
- Develop, implement, and monitor corporate governance policies and practices to ensure transparency, accountability, and ethical conduct across the organization.
- Advise the board of directors and senior management on corporate governance best practices and emerging trends.
Strategic Inorganic Growth:
- Provide strategic support and guidance on M&A, joint ventures, and other strategic initiatives.
- Coordinate with internal and external stakeholders to ensure compliance with legal and regulatory requirements throughout the transaction lifecycle.
Risk Management:
- Identify, assess, and mitigate legal and compliance risks associated with business operations and strategic initiatives.
- Develop and implement risk management strategies and processes to safeguard the organization’s interests.
Stakeholder Engagement:
- Serve as the primary point of contact for regulatory authorities, shareholders, and other stakeholders on company secretarial matters.
- Manage investor relations activities and address investor queries and grievances in a timely and effective manner.
Qualification & Experience:
- Qualified Company Secretary with 15-20 years of relevant experience, including recent experience as a Company Secretary of a listed company.
- In-depth knowledge of Companies Act, FEMA regulations, SEBI regulations, and other relevant legal and regulatory requirements.
- Proven track record of managing corporate governance initiatives, compliance programs, and risk management strategies.
- Experience in handling PE funds, Rights issues, Debentures, SEBI listings, and Preferential allotment of shares.
- Experience M&A, JV, SPV, and other strategic initiatives in India and abroad.
- Worked in reputable companies known for their compliance and governance.
- Experience with both private and public organizations preferred.
- Strong communication, leadership, and interpersonal skills.
- Ability to work effectively in a dynamic and fast-paced environment.
